Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Minim Industries LLC ("Minim Industries", "we", "us") governing your use of the Font Proof application and related software, updates, and documentation (the "Software"). By installing, activating, entering a license key for, or using the Software, you agree to these Terms. If you do not agree, do not install or use the Software.

1. License grant

Subject to these Terms and your payment of the applicable fee (or your use during a trial), we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on Mac computers you own or control, for your own font design and proofing work. A trial license permits use only for the stated trial period.

2. Restrictions

Except to the extent this restriction is prohibited by applicable law, you may not, and may not permit anyone else to:

  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Software;
  • modify, adapt, translate, or create derivative works of the Software;
  • copy, distribute, sublicense, rent, lease, lend, sell, or otherwise transfer the Software or your license, or make it available to any third party;
  • remove, alter, or obscure any proprietary notices;
  • circumvent, disable, or interfere with the Software's licensing, activation, or security mechanisms, or use a license key not issued to you;
  • use the Software to develop a competing product, or in any unlawful manner.

3. Ownership

The Software is licensed, not sold. Minim Industries and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. You retain all rights to the fonts, documents, and other content you create with the Software; we claim no ownership of your work.

4. License keys, trials, and activation

Your license key is personal to you and tied to a limited number of device activations. You are responsible for keeping it confidential. The Software may contact our licensing provider to activate and periodically validate your license; if validation shows your license is invalid, expired, or revoked, the Software may stop functioning. Trials are intended for evaluation and may be limited to one per person.

5. Payments and refunds

Purchases are processed by our payment provider and Merchant of Record, Lemon Squeezy, subject to their terms. Fees are stated at checkout. Except where required by law, fees are non-refundable; for refund requests, contact us at the address below.

6. Updates

We may provide updates to the Software from time to time. These Terms govern any updates unless the update is accompanied by separate terms. We are not obligated to provide updates, support, or maintenance.

7. Termination

This license is effective until terminated. It terminates automatically if you breach these Terms. On termination you must stop using the Software and delete all copies. Sections 2, 3, and 8 through 11 survive termination.

8. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. YOU ARE RESPONSIBLE FOR BACKING UP YOUR WORK.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MINIM INDUSTRIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Consumer rights

Nothing in these Terms limits or excludes any rights you have that cannot be limited or excluded under applicable consumer-protection law. Some jurisdictions do not allow certain warranty disclaimers, liability limitations, or restrictions on reverse engineering for interoperability; in those jurisdictions, those provisions apply only to the extent permitted, and the remainder of these Terms stays in effect.

11. Governing law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the state and federal courts located in California, except where applicable law gives you the right to bring a claim elsewhere.

12. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above reflects the latest version. Your continued use of the Software after changes take effect constitutes acceptance of the updated Terms.
